Welcome to Trade Labs. These Terms of Service ("Terms") govern your access to and use of Trade Labs services, software, and websites (collectively, the "Service"). By registering for an account or by using the Service in any manner, you agree to be bound by these Terms.

No Refund Policy

Upon activation or renewal of your membership, you acknowledge that the Service is considered fully delivered and rendered. Trade Labs provides digital services and tools that are accessible immediately upon purchase or renewal, which constitutes final and complete delivery of our Service under the terms of this agreement. Due to the inherent nature of digital products, which include but are not limited to downloadable software, online access to content and tools, and other electronically supplied data, Trade Labs maintains a strict no-refund policy. Once a membership is activated or renewed, it cannot be cancelled and no refunds will be issued or allowed under any circumstances. This no-refund policy shall apply at all times regardless of your decision to terminate your usage, our decision to terminate your usage, disruption caused to our Service either planned, accidental or intentional, or any reason whatsoever. Trade Labs encourages users to carefully assess their needs before purchasing or renewing a membership to ensure that it aligns with their requirements.

Intellectual Property and Use Restrictions

The Service, including but not limited to all software, databases, interfaces, associated media, documentation, updates, new versions, and other components or documents provided by Trade Labs under these Terms of Service, are the exclusive property of Trade Labs and its licensors. These materials are protected by copyright, trade secret, patent, and other intellectual property laws, and international treaties. You are granted a limited, non-exclusive, non-transferable license to access and use the Service strictly in accordance with these Terms of Service. This license is subject to your full compliance with all the terms and conditions set forth herein. You are expressly prohibited from attempting to tamper with, modify, reverse engineer, decrypt, decompile, disassemble, or extract the source code or any other underlying algorithms, code, or proprietary data used in or with the Service. You may not rent, lease, lend, sell, redistribute, sublicense, or otherwise make the Service available to any third party. Furthermore, you may not use the Service for any purpose that infringes upon the rights of any third party, including but not limited to intellectual property rights. Violating these use restrictions or any other terms of these Terms of Service may lead to the immediate termination of your account and your access to the Service. Such violations may also subject you to legal action by Trade Labs, its licensors, or third parties who have been harmed by your actions, to the fullest extent permitted by law. Trade Labs reserves the right to enforce its intellectual property rights to the full extent of the law, including seeking criminal prosecution.

License and Termination

Your access to and use of the Trade Labs services are provided under a license agreement and are not sold to you. This license grants you a non-exclusive, non-transferable, revocable right to use the Trade Labs service strictly in accordance with these Terms of Service and for the intended purposes of the platform. Trade Labs, in its sole discretion, reserves the right to review, suspend, or terminate this license and your access to the Service at any time without prior notice, should it determine that your use of the Service violates these Terms, any applicable laws, or is otherwise inimical to the interests of Trade Labs or its other users. Such termination may result in the immediate deactivation or deletion of your account and the forfeiture and relinquishment of all content in your account. Trade Labs shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, or for any losses or damages that may arise from such actions. Following termination, your obligation to pay any outstanding fees shall survive, and Trade Labs may continue to use your data in accordance with the privacy policy and applicable law.

Nature of the Service

Trade Labs provides its services strictly for simulated trading (commonly referred to as 'paper trading') and educational purposes. The platform is designed to offer a virtual trading environment where users can test and refine their trading strategies, conduct market analysis, and gain trading experience without the risk of financial loss associated with real market trading. It is imperative to understand that Trade Labs is not a brokerage or financial advisory service and does not facilitate or support real-time or live trading on actual financial markets. The tools, data, and functionalities provided by Trade Labs are intended to simulate trading conditions and should not be used as a basis for making investment decisions in real-world financial markets. Users should not interpret any aspect of the Service as a recommendation or inducement to engage in real trading or investment. Any decision to participate in live trading based on insights, tools, or scenarios presented by Trade Labs must be made independently and with due consideration of the risks involved in trading real financial instruments. Trade Labs disclaims any liability for losses or damages that may result from the application of the knowledge or the use of the Service in real-market trading. Users are solely responsible for their personal trading and investment decisions and the legal and regulatory compliance of their trading activities.

User Responsibility

As a user of Trade Labs, you bear full responsibility for all activities undertaken through your account, including the utilization of any tools, bots, or other functionalities provided by Trade Labs. This encompasses, but is not limited to, the creation, execution, and management of trading strategies, decisions, and actions performed by the automated systems or manually within the Trade Labs platform. You acknowledge and agree that you are the sole decision-maker in the context of your account. While Trade Labs provides tools and bots designed to facilitate simulated trading and analysis, the ultimate responsibility for the oversight and management of these tools, including the selection, implementation, and monitoring of trading strategies, rests with you. Trade Labs will not be held accountable for any losses, damages, or consequences that may result from the use of its service, including errors, failures, or malfunctions of the software, or from the actions or inactions of its automated systems. You should ensure that all trading decisions made by Trade Labs tools or bots align with your intended trading strategies and risk tolerance levels. Furthermore, it is your responsibility to secure your account against unauthorized access or use. Trade Labs is not liable for any breach of your account security or for any unauthorized use of your account by third parties. You must promptly notify Trade Labs of any unauthorized use of your account or any other breaches of security. By using Trade Labs, you agree to indemnify and hold harmless Trade Labs against any claims, losses, liabilities, damages, costs, or expenses arising from your use of the account, including any actions taken through your account by either automated bots or manual intervention.

Indemnification

You agree to indemnify, defend, and hold harmless Trade Labs, its parent company, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, and expenses, including but not limited to attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms of Service, or your breach of any law or the rights of a third party. This indemnification obligation will include, but is not limited to, any financial loss, damage, or injury sustained by Trade Labs or any third party due to your misconduct, misuse of the Service, or failure to abide by the terms and conditions set forth in these Terms of Service. Furthermore, you shall cooperate as fully as reasonably required in the defense of any such claim. Trade Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you shall not in any event settle any matter without the written consent of Trade Labs. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.

Limitation of Liability

To the maximum extent permitted by applicable law, Trade Labs, including its directors, employees, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Trade Labs has been informed of the possibility of such damage. Furthermore, the total liability of Trade Labs, for any claim under these Terms, including for any implied warranties, is limited to the amount you paid us to use the applicable Service(s) in the twelve (12) months before the action giving rise to the liability. This limitation of liability provision applies fully in jurisdictions that allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, Trade Labs' liability is limited to the greatest extent permitted by law. This section will survive any termination of your access to or use of the Service.

Warranty Disclaimer

Trade Labs provides the Service on an "as is" and "as available" basis without any representations, guarantees, or warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, Trade Labs expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Trade Labs does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Service will be accurate or reliable, or that the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations. No advice or information, whether oral or written, obtained by you from Trade Labs or through the Service shall create any warranty not expressly stated in these Terms. Because some jurisdictions do not allow the exclusion of certain warranties, some of the above exclusions may not apply to you, but they shall apply to the maximum extent permitted by applicable law.

Compliance with Laws

You represent and warrant that your use of the Service will be in full compliance with all applicable laws, regulations, and ordinances. You are responsible for ensuring that your use of the Service does not violate any legal standards or regulations, including but not limited to those concerning privacy, data protection, international communications, and the transmission of technical or personal data. You shall not use the Service for any unlawful or prohibited purposes. You agree to comply with all local, state, national, and international laws and regulations applicable to your use of the Service, including trade regulations, export control laws, and any regulations having the force of law. Furthermore, you warrant that you will not use the Service to engage in any activity that would constitute a civil or criminal offense or bring Trade Labs into disrepute. This includes ensuring that the Service is not used to infringe on the rights of others, including intellectual property, privacy, or publicity rights. Violation of any laws or these representations and warranties may result in the termination of your account and may expose you to civil and/or criminal penalties. Trade Labs reserves the right to investigate any suspected violation of this provision and to involve and cooperate with law enforcement authorities in prosecuting users who are involved in such violations.

Governing Law

These Terms of Service and your use of the Trade Labs Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Trade Labs is incorporated and operates, excluding its conflicts of law rules. Any legal action or proceeding related to your access to, or use of, the Service or these Terms shall be brought exclusively in a court of competent jurisdiction located in the jurisdiction where Trade Labs operates. You agree that the laws of the specified jurisdiction will govern any dispute that might arise between you and Trade Labs regarding your use of the Service, and you agree to submit to the exclusive jurisdiction and venue of the courts located in this jurisdiction for such purposes. This provision regarding Governing Law will survive any termination of your access to or use of the Service, as well as any changes to the Terms or to the Service itself. Your compliance with this Governing Law provision is deemed necessary for the agreement between you and Trade Labs to be effective.

Changes to Terms

These Terms, together with any amendments and any additional agreements you may enter into with Trade Labs in connection with the Service, shall constitute the entire agreement between you and Trade Labs concerning the Service. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Trade Labs' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Miscellaneous

Trade Labs reserves the right, at its discretion, to modify or replace these Terms at any time. It is your responsibility to review these Terms periodically for any changes. Changes to these Terms will be effective when posted, and your continued use of the Service after any such changes have been posted will constitute your agreement to and acceptance of the amended Terms. If you do not agree to the changes, you must stop using the Service. We will endeavor to notify you of significant changes to the Terms when possible.
